Closing audit

The financial statements of Hypoport AG and the Hypoport Group are audited by Counsel Treuhand GmbH Wirtschaftsprüfungsgesellschaft Steuerberatungsgesellschaft ("Counsel Treuhand"), ABC-Strasse 19, 20354 Hamburg. Counsel Treuhand has audited the consolidated financial statements as of 31 December 2006 and 31 December 2005 prepared in accordance with both IFRS as applicable in the EU and, additionally, with the commercial provisions specified in Section 315a (1) Commercial Code (Handelsgesetzbuch, HGB) together with the individual financial statements of Hypoport AG prepared in accordance with HGB as of 31 December 2006, 2005 and 2004, and has issued each of these statements with unqualified certification. In addition, Counsel Treuhand has performed an auditing review of the abbreviated interim consolidated financial statements as of 30 June 2007 prepared in accordance with IFRS for interim reporting as applicable in the EU, taking account of the principles specified by the German Institute of Public Auditors (Institut für Wirtschaftsprüfer, IDW), and has issued these with corresponding unqualified certification. Counsel Treuhand is a member of the German Chamber of Public Auditors (Wirtschaftsprüferkammer).
